1. Acceptance of Terms

By downloading, installing, accessing, or using the Myndr AI desktop application, web interface, or any related services (the “Service”), you agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Myndr (“Myndr,” “we,” “us,” or “our”).

2. Eligibility and Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. To access cloud features, you must create an account with accurate and complete information and maintain the security of your credentials.

3. Description of the Service

Myndr AI is a local-first AI automation platform that allows users to create, manage, and deploy intelligent agents and workflows. Key capabilities include manual or AI-assisted agent creation, project organization, long-term agent memory, tool integration, model flexibility (local and cloud), and optional deployment to Myndr Cloud for managed execution. The Service includes a desktop application, optional cloud orchestration, billing, and an AI personal assistant that can help build and manage agents.

Important: The core application runs locally on your device. Cloud features are optional and require explicit opt-in. When using local models or bring-your-own-key configurations, inference happens either on your hardware or directly with the chosen provider.

4. Your Content and Intellectual Property

Ownership: You retain all ownership rights to the agents, workflows, projects, prompts, memory data, and any other content you create using the Service (“Your Content”). Myndr does not claim ownership of Your Content.

License to Myndr: By using cloud features, you grant Myndr a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, display, and transmit Your Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete the content or close your account (subject to retention periods in our Privacy Policy).

Feedback: If you provide suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.

5. AI-Specific Disclaimers and Your Responsibilities

5.1 No Guarantee of Accuracy or Reliability

THE SERVICE USES LARGE LANGUAGE MODELS AND OTHER AI TECHNOLOGIES. YOU ACKNOWLEDGE AND AGREE THAT:

  • AI-generated outputs, agent decisions, and automated workflows may contain errors, hallucinations, biases, outdated information, or be incomplete;
  • We make no warranties, express or implied, regarding the accuracy, reliability, suitability, or completeness of any output or action taken by agents or the AI personal assistant;
  • You are solely responsible for reviewing, validating, and approving all outputs before relying on them or allowing agents to act autonomously.

5.2 Responsibility for Agent Actions

Agents you create or deploy can perform actions on your behalf, including sending emails, making API calls, modifying files, scheduling tasks, or interacting with external systems. YOU ARE FULLY RESPONSIBLE FOR ALL ACTIONS TAKEN BY YOUR AGENTS, including any unintended or harmful consequences. You must configure appropriate permissions, oversight mechanisms, and human-in-the-loop approvals for high-risk tasks. Myndr is not liable for any loss, damage, or legal liability arising from agent behavior.

5.3 Prohibited Uses of AI Features

You may not use the Service to create agents or workflows that:

  • Engage in spam, phishing, social engineering, or unauthorized mass communication;
  • Violate any applicable law, regulation, or third-party rights (including intellectual property, privacy, or data protection laws);
  • Generate or distribute deepfakes, disinformation, or content intended to deceive;
  • Perform unauthorized scraping, hacking, or surveillance;
  • Create agents for high-stakes decision-making (medical diagnosis, legal advice, financial trading, autonomous weapons, etc.) without appropriate professional oversight and disclaimers.

6. Fees, Billing, and Subscriptions

Core local functionality is free. Cloud deployment, advanced orchestration, premium models, and usage-based inference are subject to paid plans. Pricing is based on token consumption, compute time, storage, and feature usage. You are responsible for all charges incurred through your account. We may change prices with 30 days’ notice. All fees are non-refundable except as required by law or at our sole discretion.

7. Prohibited Conduct

You agree not to:

  • Reverse engineer, decompile, or attempt to discover the source code of the Service (except to the extent permitted by applicable open-source licenses for local components);
  • Use the Service for any illegal purpose or in violation of these Terms;
  • Interfere with or disrupt the Service or servers;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Use automated means to access the Service beyond normal agent operation (e.g., scraping our website or APIs without authorization).

8. Termination and Suspension

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or suspected abuse, with or without notice. Upon termination, your right to use the Service ceases immediately. You may delete your local installation at any time. Cloud data will be deleted according to our Privacy Policy (typically within 30 days, subject to legal retention). Sections 4, 5, 9, 10, 11, and 12 survive termination.

9. Disclaimers of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR REQUIREMENTS. AI OUTPUTS AND AGENT BEHAVIOR ARE INHERENTLY UNPREDICTABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MYNDR AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, AI OUTPUTS, AGENT ACTIONS, OR THESE TERMS, REGARDLESS OF THE CAUSE OR THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER. THIS LIMITATION APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Myndr and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) Your Content or agents you create; (c) your violation of these Terms or applicable law; or (d) any dispute between you and a third party involving the Service.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive any right to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive relief in court for intellectual property or confidentiality breaches.

13. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Myndr regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. We may assign these Terms without your consent. You may not assign your rights without our prior written consent. No waiver of any provision shall be effective unless in writing. These Terms do not create any agency, partnership, or joint venture relationship.
